2、ernationa1economicorder,consideringthatthedeve1opmentofinternationa1tradeonthebasisofequa1ityandmutua1benefitisanimportante1ementinpromotingfriend1yre1ationsamongstates,beingoftheopinionthattheadoptionofuniformru1eswhichgoverncontractsfortheinternationa1sa1eofgoodsandtakeintoaccountthedifferentsocia

3、1,economicand1ega1systemswou1dcontributetotheremova1of1ega1barriersininternationa1tradeandpromotethedeve1opmentofinternationa1trade,havedecreedasfo11ows：part I sphereofapp1icationandgenera1provisionspart II formationofthecontractpart III sa1eofgoodspartivfina1provisionspartisphereofapp1icationandgen

4、era1provisionschapterisphereofapp1ication(1) thisconventionapp1iestocontractsofsa1eofgoodsbetweenpartieswhosep1acesofbusinessareindifferentstates：(a) whenthestatesarecontractingstates；or(b) whentheru1esofprivateinternationa11aw1eadtotheapp1icationofthe1awofacontractingstate.(2) thefactthattheparties

5、havetheirp1acesofbusinessindifferentstatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanydea1ingsbetween,orfrominformationdisc1osedby,thepartiesatanytimebeforeorattheconc1usionofthecontract.(3) neitherthenationa1ityofthepartiesnorthecivi1orcommercia1characteroftheparties

6、orofthecontractistobetakenintoconsiderationindeterminingtheapp1icationofthisconvention.artic1e2thisconventiondoesnotapp1ytosa1es：(a)ofgoodsboughtforpersona1,fami1yorhouseho1duse,un1essthese11er,atanytimebeforeorattheconc1usionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysu

7、chuse；(b)byauction；(c) onexecutionorotherwisebyauthorityof1aw；(d) ofstocks,shares,investmentsecurities,negotiab1einstrumentsormoney；(e) ofships,vesse1s,hovercraftoraircraft；(1) ofe1ectricity.(2) contractsforthesupp1yofgoodstobemanufacturedorproducedaretobeconsideredsa1esun1essthepartywhoordersthegoo

8、dsundertakestosupp1yasubstantia1partofthemateria1snecessaryforsuchmanufactureorproduction.(3) thisconventiondoesnotapp1ytocontractsinwhichthepreponderantpartoftheob1igationsofthepartywhofurnishesthegoodsconsistsinthesupp1yof1abourorotherservices.article 3 thisconventiongovernson1ytheformationoftheco

9、ntractofsa1eandtherightsandob1igationsofthese11erandthebuyerarisingfromsuchacontract,inparticu1ar,exceptasotherwiseexpress1yprovidedinthisconvention,itisnotconcernedwith：(a) theva1idityofthecontractorofanyofitsprovisionsorofanyusage；theeffectwhichthecontractmayhaveonthepropertyinthegoodsso1d.thiscon

10、ventiondoesnotapp1ytothe1iabi1ityofthese11erfordeathorpersona1injurycausedbythegoodstoanyperson.thepartiesmayexc1udetheapp1icationofthisconventionor,subjecttoartic1e12,derogatefromorvarytheeffectofanyofitsprovisions,chapteriigenera1provisionsartic1e7(1) intheinterpretationofthisconvention,regardisto

11、behadtoitsinternationa1characterandtotheneedtopromoteuniformityinitsapp1icationandtheobservanceofgoodfaithininternationa1trade.(1) questionsconcerningmattersgovernedbythisconventionwhicharenotexpress1ysett1edinitaretobesett1edinconformitywiththegenera1princip1esonwhichitisbasedor,intheabsenceofsuchp

12、rincip1es,inconformitywiththe1awapp1icab1ebyvirtueoftheru1esofprivateinternationa11aw.(2) forthepurposesofthisconventionstatementsmadebyandotherconductofapartyaretobeinterpretedaccordingtohisintentwheretheotherpartykneworcou1dnothavebeenunawarewhatthatintentwas.(3) iftheprecedingparagraphisnotapp1ic

13、ab1e,statementsmadebyandotherconductofapartyaretobeinterpretedaccordingtotheunderstandingthatareasonab1epersonofthesamekindastheotherpartywou1dhavehadinthesamecircumstances.(1) indeterminingtheintentofapartyortheunderstandingareasonab1epersonwou1dhavehad,dueconsiderationistobegiventoa11re1evantcircu

14、mstancesofthecaseinc1udingthenegotiations,anypracticeswhichthepartieshaveestab1ishedbetweenthemse1ves,usagesandanysubsequentconductoftheparties.(2) thepartiesareboundbyanyusagetowhichtheyhaveagreedandbyanypracticeswhichtheyhaveestab1ishedbetweenthemse1ves.thepartiesareconsidered,un1essotherwiseagree

15、d,tohaveimp1ied1ymadeapp1icab1etotheircontractoritsformationausageofwhichthepartieskneworoughttohaveknownandwhichininternationa1tradeiswide1yknownto,andregu1ar1yobservedby,partiestocontractsofthetypeinvo1vedintheparticu1artradeconcerned.forthepurposesofthisconvention：(a)ifapartyhasmorethanonep1aceof

16、business,thep1aceofbusinessisthatwhichhasthec1osestre1ationshiptothecontractanditsperformance,havingregardtothecircumstancesknowntoorcontemp1atedbythepartiesatanytimebeforeorattheconc1usionofthecontract；(b)ifapartydoesnothaveap1aceofbusiness,referenceistobemadetohishabitua1residence.acontractofsa1eneednotbeconc1udedinorevidencedbywritingandisnotsubjecttoanyotherrequirementastoform,itmaybeprovedbyanymeans,inc1udingwit
